These Terms and Conditions ("Terms" or "Agreement") govern your access to and use of the CallMined platform, website, and services (collectively, the "Services") provided by CallMined LLC ("CallMined," "we," "our," or "us"). By accessing or using the Services, you agree to be bound by these Terms.

By accessing or using the Services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are using the Service on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" or "your" shall refer to that entity.

If you do not agree with these Terms, you may not access or use the Services.

CallMined provides AI-driven sales call transcription and analysis designed to provide call recordings and insights to improve sales team performance, coaching, and training.

The Services are provided as a hosted software-as-a-service (SaaS) solution available via the web and related applications.

You must be at least 18 years of age and authorized to enter into contracts to use the Services on behalf of you, organization or use the Services.

When responsible for registering the confidentiality of your login credentials and for all activity occurring under your account. You agree to: a) promptly notify CallMined of any unauthorized use of your account; b) keep your password and account credentials secure; and c) be responsible for all activities under your account (including those of subusers who you permit to access your account).

CallMined grants you a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms and your active subscription.

You agree not to:

• Copy, modify, or create derivative works of the Services;
• Reverse engineer or attempt to extract the source code;
• Distribute, sublicense, rent, lease, or sell access to the Services;
• Remove or modify any copyright or proprietary notice; or create any title;
• Interfere with or disrupt the integrity or security of the Services;
• Use the Services to process malicious, fraudulent, or discriminatory material.

Access to the Services is provided on a subscription basis as outlined in your CallMined subscription agreement or order form.

Fees, billing cycles, and payment methods are defined in your CallMined subscription agreement or order form, unless otherwise agreed. Invoices are due as per the payment schedule set forth in your invoice. Late payments may be subject to a late fee as disclosed in the payment terms or to applicable interest.

You retain ownership of all call data, transcripts, and related content ("Customer Data") submitted to the Services.

By submitting Customer Data, you grant CallMined a limited license to process and analyze the data to provide the Services and improve its functionality (including improving the Services and improving direct support).

CallMined does not own Customer Data and will not sell it or share it with advertisers, We are not electronically monitoring.

CallMined may integrate with third-party service providers (including dialers, AI, and Virtual-AI auto-response support note functionality).

CallMined ensures that such third-parties maintain appropriate security and compliance measures, but CallMined is not responsible for the acts or omissions of third parties beyond its reasonable control.

Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own (but at least reasonable care).

Confidential information may not include: other than (i) becomes public, (ii) is lawfully received, or is already known to be disclosed (iii) is required to be disclosed by law.

CallMined maintains administrative, physical, and technical safeguards in updated Customer Data in accordance with SOC 2 and HIPAA requirements.

However, no system is entirely secure. You acknowledge that you share responsibility for security practices. You acknowledge that you share responsibility for following your internal's policies. You will not upload data or post data to the Services in a way that would violate applicable law or these Terms (including HIPAA, GDPR, CCPA) or the equivalent regulation or agreement.

All software, code, and content relating to the Services, including AI software, algorithms, interfaces, and documentation, are the property of CallMined or its licensors.

Except for the limited license expressly granted here, no rights are transferred to you under these Terms.

CallMined strives to provide continuous availability of the Services but does not guarantee uninterrupted access availability or error-free availability.

We reserve the right to modify, suspend, or discontinue the Services, at any time, with or without notice.

Material changes to these Terms will be communicated to users via email or website notice.

These Terms remain in effect for as long as you use the Services or active subscription is active per the Services.

CallMined may suspend or terminate your access if you breach these Terms or violate applicable laws.

Upon termination, you will lose access to the Services (and we may delete your Customer Data and Business granted to you under these Terms will not be immediately terminate, and any obligations due will survive).

To the maximum extent permitted by law:

• CallMined shall not be liable for any indirect, incidental, special, consequential, or punitive damages in using from your use of or inability to use the Services;
• CallMined's total aggregate liability for all claims shall not exceed the fees paid by you as a Customer in the twelve (12) months preceding the claim.

The Services are provided "AS IS" and "AS AVAILABLE." To the fullest extent of any kind, whether express, implied, statutory, or otherwise.

CallMined disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify, defend, and hold harmless CallMined LLC, its officers, directors, employees, and affiliates from any and against all claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Services;
• Your violation of these Terms or applicable law;
• Any violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms shall be resolved in the "Mineral Rights" administrative processes, in the County of the Law of the Clause of the State of the City available or resolved through other judicial processes permitted by applicable law (including the "Personal Arbitration Clause" or "Governing Arbitration Laws"). If the state matter must be resolved by notice shall be handled in State or Federal Courts located in COUNTY OF LARAMIE, WYOMING, USA.

To be extent permitted by law, disputes must be resolved in an individual capacity; class actions are not permitted.

• These Terms constitute the entire agreement between you and CallMined regarding the Services.
• If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
• No waiver of any breach of any provision shall constitute a waiver of any later breach.
• You may not assign or transfer these Terms without written consent from CallMined.
